Terms and Conditions

Welcome

Congratulations and welcome.

Thank you for engaging Chantal Gerardy from Online Business Marketing Pty Ltd.

This program is designed to help you build meaningful, profitable and easy to manage marketing through strategy, systems, support and accountability.

Each program or project is created solely for your business and all strategies and concepts are not to be shared or utilised by anyone other than your employees, team or direct partners.

Over the course of the program or project, I will provide ideas and tactics designed to give you the skills, strategies and systems to use in your online marketing. These are based on my experience and professional opinion.

To achieve your program goals, you agree to work collaboratively, remain open minded and commit to implementation.

By purchasing, making payment, or agreeing to proceed with one of our programs, you acknowledge and accept these Terms and Conditions.

The following ‘Terms of Engagement’ summarise how we will work together.

1. One on One

1.1 My Role

I will act in the role of your consultant, strategist and coach.

I will guide you through the fundamentals of meaningful marketing tailored specifically to your business.

Your results will be determined by the action you take.

Failure to book and attend sessions within the given timeframe may result in incomplete implementation and sessions cannot be extended.

1.2 Training & Development

This program includes training and development for:

  1. Business Owner
  2. Marketing Manager
  3. Marketing Team
  4. Virtual Assistant

The goal is to build internal capability and sustainable marketing systems.

1.3 Client Responsibilities

You acknowledge that completing agreed tasks between sessions is essential.

Please attend sessions with:

  1. Laptop or desktop (not mobile)
  2. Login details
  3. Homework completed
  4. Priority tasks prepared

Time spent resolving login issues is considered part of the session.

2. Sessions

2.1 Booking Responsibility

All sessions must be booked using the booking link.

You are responsible for:

  1. Booking sessions
  2. Attending sessions
  3. Preparing for sessions
  4. Implementing agreed actions

Sessions must be used within the agreed rhythm.

Unused sessions:

  1. Do not roll over
  2. Are non refundable
  3. Cannot be transferred

2.2 Session Environment

Sessions must be attended:

  1. In a quiet environment
  2. With stable internet
  3. On desktop or laptop

Sessions may be cancelled or rescheduled if:

  1. Internet unstable
  2. Sound issues
  3. Environment unsuitable

All sessions must be attended on desktop, not mobile.

2.3 Late Arrivals & No Shows

  1. Late arrivals do not extend session time
  2. Failure to attend within 10min will result in an ended and forfeited session.
  3. No refund or reschedule for missed sessions

2.4 Session Rhythm & Rescheduling

This program is designed to follow the agreed session rhythm, which may include weekly, fortnightly or monthly sessions depending on your program.

If either party is unable to maintain the intended session rhythm, sessions will be rescheduled and made up where reasonably possible within the program period or as otherwise agreed.

This clause addresses changes to the ongoing session rhythm and does not override Section 2.3 — an individual missed or late-arrived session remains forfeited as described there.

Rescheduled or delayed sessions are not refundable.

Session dates, notes, and session history may be tracked in a shared Google document.

Sessions need to always include a business owner or decision maker.

3. Communication

3.1 General Communication

Communication should be via:

  1. Email
  2. SMS
  3. Facebook messenger (personal account)

Replies typically within:
48–72 business hours

3.2 Business Owner as Primary Contact

The Business Owner is the sole point of contact for this program.

All communication, including session scheduling, homework, invoices, billing and payment matters, will be sent to and accepted only from the email address provided at the time of purchase (your “Registered Email”).

We do not correspond with, or take instructions from, virtual assistants, bookkeepers, accounts teams, staff or other third parties, even where they are copied into emails or contact us on your behalf. Messages received from any email address other than your Registered Email may not be answered.

Your team members may attend training where your program includes it (Section 1.2), but this does not make them a point of contact for the program.

The Business Owner is responsible for:

  1. Forwarding relevant emails, invoices and updates to their team, virtual assistant or bookkeeper
  2. Managing their team’s access to program materials
  3. Keeping their Registered Email up to date. Any change must be requested in writing from the current Registered Email.

3.3 Your Responsibility to Respond

Timely communication from you is essential to keeping your program on track. You agree to respond to program-related communications — including scheduling requests, homework follow-ups, and session preparation reminders — within 3 business days.

Delayed responses may affect your ability to maintain the agreed Session Rhythm (Section 2.4) and complete implementation within your program timeframe, and are not grounds for extending your program, rescheduling forfeited sessions, or delaying payment obligations under your Minimum Commitment (Sections 7.2 and 9.1).

4. Session Notes, Recordings & Transcripts

4.1 Client Notes & Workbook Responsibility

It is the client’s responsibility to take notes during sessions, review shared session materials, and complete any workbook, action items, or their Marketing Handbook using the content covered throughout the program.

You acknowledge that sessions may be delivered in an order that best suits your business needs at the time, and not always in a fixed or sequential format.

4.2 Session Recordings & Transcripts

You will receive:

  1. Shared Google document
  2. Zoom recordings
  3. Otter transcripts

Recordings may expire.

It is your responsibility to:

  1. Download recordings
  2. Keep sessions up to date
  3. Maintain access

We are not responsible for:

  1. Expired recordings
  2. Missing recordings
  3. Technical issues
  4. Transcript errors

5. Bonus Content

Programs may include bonus:

  1. Training
  2. Courses
  3. Templates
  4. Resources

This is bonus content and may change over time.

6. Scope & Boundaries

Each program includes specific inclusions.

Requests outside scope may require:

  1. Separate quote
  2. Additional agreement

7. Program Duration & Minimum Commitment

7.1 Program Duration

Program duration varies depending on engagement.

This may include:

  1. 8 week programs
  2. 5 month programs
  3. 12 month programs
  4. Custom engagements

Sessions must be used within the agreed rhythm.

Unused sessions are forfeited.

7.2 Minimum Commitment

Where your program or offer includes a minimum term, that minimum term applies as agreed at the time of purchase, proposal, invoice, or payment plan.

This may include a minimum number of months for support, strategy, implementation, platform access, or subscription based services.

Early cancellation does not remove the obligation to complete any minimum commitment payments.

7.3 Cancellation

Once your Minimum Commitment (Section 7.2) has been completed in full, you may cancel your program at any time during the Monthly phase of your Session Rhythm (Section 2.4).

To cancel, you must provide written notice by email to chantal@onlinebusinessmarketing.com.au. Your cancellation will take effect at the end of your next full monthly billing cycle. This final cycle allows time to complete any scheduled sessions, review work in progress and support an orderly transition out of the program. One final monthly payment will be processed on your next scheduled billing date, and your program, sessions and access will remain available throughout that final paid period. After this period ends, no further payments will be due.

Cancellation is only valid when submitted in writing via chantal@onlinebusinessmarketing.com.au, in accordance with Section 20.5 (Notices). Verbal notice, notice given through the VIP Group, or notice given through any other channel will not be treated as a valid cancellation.

This clause does not apply during your Minimum Commitment period — Sections 7.2 and 9.1 remain in full effect until that term is complete, and no cancellation is available before then.

8. Program Continuity

Programs cannot be paused, restarted or reset.

Program continues regardless of:

  1. Team changes
  2. Business changes
  3. Staff changes

9. Payment Terms & Responsibility

9.1 Minimum Term Payment Obligation

If your program includes a minimum number of months, you remain responsible for all payments within that minimum term regardless of attendance, usage, pace of implementation, or changes within your business.

9.2 Payment Responsibility

If you are on a payment plan or in a subscription, payments must be maintained in accordance with your agreed terms.

  1. Failed payments may pause access
  2. Outstanding balances may incur fees

Payment obligations continue regardless of:

  1. Attendance
  2. Participation
  3. Implementation

9.3 Chargebacks & Payment Disputes

By purchasing or engaging in a program with Online Business Marketing, you agree not to initiate a chargeback, payment dispute, or reversal with your card issuer, bank, or any third-party payment processor for any charge authorised under these Terms. Any concern about billing or your program must be raised directly with us at chantal@onlinebusinessmarketing.com.au before any dispute is lodged with your bank or card provider.

Where a chargeback, payment dispute, or reversal is initiated, you agree that:

  1. Online Business Marketing may immediately suspend or terminate your access to sessions, materials, and the Group, without refund.
  2. We will dispute the chargeback in full, providing these Terms, your booking and session records, and communication history as evidence of services delivered.
  3. You remain fully liable for the disputed amount, plus a chargeback handling fee of $250 AUD per occurrence, plus any fees charged to us by our payment processor as a result.
  4. Where you are within a Minimum Commitment (Section 7.2), initiating a chargeback does not reduce that obligation — the full remaining balance becomes immediately payable and may be referred to debt collection.

Chargebacks are not an appropriate substitute for raising a concern about your program, and will not be treated as a valid request to pause, cancel, or renegotiate your engagement.

10. No Refund Policy

All purchases are final.

  1. No refunds
  2. No holds
  3. No exchanges

11. Confidentiality

All information is confidential.

Includes:

  1. Strategy
  2. Materials
  3. Group discussions

12. Intellectual Property

All materials remain property of Online Business Marketing.

Materials may not be:

  1. Shared
  2. Copied
  3. Resold

You retain ownership of your own pre-existing business information, brand assets, and any content you share with us for use in your program.

13. Third Party Platforms

We may use:

  1. Zoom
  2. Google
  3. Email platforms
  4. Training platforms

We are not responsible for:

  1. Platform outages
  2. Policy changes
  3. Technical issues

14. Limitation of Liability

Results depend on:

  1. Implementation
  2. Business model
  3. Team engagement

No results guaranteed.

Online Business Marketing’s total liability to you under these Terms, however arising, will not exceed the total fees you paid in the three (3) months immediately preceding the event giving rise to the claim.

15. Behaviour Expectations

Clients and their teams are expected to:

  1. Be respectful
  2. Maintain professionalism
  3. Support group environment

We reserve the right to remove access if behaviour inappropriate.

16. Group – The Marketing Implementation Hub

Clients are encouraged to:

  1. Attend weekly masterclasses and monthly working bees.
  2. Join VIP facebook group
  3. Access course content in School
  4. Ask questions
  5. Stay accountable
  6. Network with members

Encourage regular attendance for:

  1. Education
  2. Accountability
  3. Networking

16.1 Attendance Responsibility

While the Marketing Implementation Hub provides significant value through weekly Masterclasses, the VIP Group, and the Working Bee, your consistent attendance is part of your responsibility under this program, not an optional extra. Results depend on implementation (see Section 14), and Masterclasses and Working Bee sessions are where much of that implementation guidance, accountability, and troubleshooting take place.

You agree to:

  1. Attend weekly Masterclasses and the Working Bee sessions relevant to your program, or catch up via the replays provided.
  2. Accept that missed live Masterclass or Working Bee sessions are not rescheduled or made up individually — replays are provided for this purpose.
  3. Use the training tracker to stay accountable to your own attendance and implementation.

Online Business Marketing is not responsible for delays, incomplete implementation, or reduced results arising from your non-attendance at Masterclasses, Working Bee sessions, or your failure to engage with replays and training resources provided.

17. Replay Days

Topics and updates are shared weekly.

Some weeks may be REPLAY days when:

  1. Travelling
  2. Presenting
  3. Public holidays

Clients are encouraged to:

  1. Block time weekly
  2. Complete recommended training
  3. Use training tracker
  4. Catch up on replays

We follow AU and QLD public holidays.

18. Communication Timeframes

Replies typically within:
48–72 business hours
Business hours only.

19. Training & Education Expectations

Clients are encouraged to treat this program as ongoing training and development.

You are encouraged to:

  1. Attend weekly masterclasses
  2. Block time for training
  3. Review replays
  4. Complete recommended training
  5. Work through training tracker

Masterclass and Working Bee attendance specifically are governed by Section 16.1 (Attendance Responsibility) — the encouragement below applies to the softer training habits, not to whether attendance itself is optional.

Training is designed for:

  1. Business owners
  2. Marketing managers
  3. Marketing Team
  4. Virtual assistants

Regular attendance and participation will support:

  1. Better implementation
  2. Greater clarity
  3. Improved results
  4. Sustainable marketing systems

20. Legal Provisions

20.1 Indemnification

You agree to indemnify and hold Online Business Marketing, its owners, employees, contractors, and agents harmless from and against any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your misuse of program materials, your negligence or misrepresentation, your use of third-party platforms connected to this program, or your own statements, communications, or conduct directed toward other participants, group members, or any third party.

20.2 Provider Availability & Force Majeure

Neither party is liable for delay or failure to perform obligations under these Terms caused by events beyond its reasonable control, including illness, injury, family emergency, natural disasters, internet or telecommunications outages, or third-party platform failures. Where Chantal is unable to deliver a session for these reasons, the session will be rescheduled in line with Section 2.4.

20.3 Governing Law and Dispute Resolution

These Terms are governed by the laws of Queensland, Australia. If a dispute arises, both parties agree to first attempt to resolve it in good faith directly with us. If it cannot be resolved this way within a reasonable time, either party may refer the dispute to mediation before pursuing court proceedings. The courts of Queensland, Australia have exclusive jurisdiction over any dispute that proceeds to litigation.

20.4 Termination for Breach

In addition to Section 15 (Behaviour Expectations), Online Business Marketing may immediately suspend or terminate your access to sessions, materials, and the Group for non-payment, a chargeback under Section 9.3, or misuse of our intellectual property under Section 12. This does not remove your payment obligations under Sections 7.2 and 9.1.

20.5 Notices

Formal notices under these Terms (as distinct from day-to-day session communication) must be sent by email to chantal@onlinebusinessmarketing.com.au, or to the email address you provided at purchase. Notice is deemed given once transmitted, provided there is no bounce-back or delivery failure.

21. Acceptance

By proceeding, you confirm that you have read, understood, and accepted these Terms and Conditions.
